The Restructuring of Nlanagement- A Promise Made and A Promise Kept GOAL BLUEPRINT ACTIONS TO BE TAKEN Recognizing that the time for having a s e p a r a t e c a r r i e r a s s o c i a t i o n t o p a r t i c i p a t e i n n e g o t i a t i n g t h e M a s t e r Contract had passed, the members of USMX determined that there should be a s i n g l e m a n a g e m e n t a s s o c i a t i o n t o n e g o t i a t e a n d a d m i n i s t e r t h e M a s t e r Contact. It was the consensus of every segment of USMX that this was the best w a y t o m e e t f u t u r e c h a l l e n g e s presented by the ILA as wet[ as insure that we continue to receive the savings p r o v i d e d b y t h e M a s t e r C o n t r a c t ($300 mi[Uon since 1996). The Directors of the Carriers Container Council, Inc. and the Directors of USMX agreed to take the necessary corporate a c t i o n t o ( 1 ) d e s i g n a t e U S M X a s t h e s o l e c o l l e c t i v e b a r g a i n i n g a g e n t f o r c a r r i e r s ~ t e r m i n a l o p e r a t o r s ~ s t e v e - dores, and port associations; (21 sunset CCC's authority to represent carriers during negotiations; and (3) create a new corporation to perform the admin- istrative functions for the industry that CCC had previously performed, O n N o v e m b e r 1 3 , 2 0 0 1 , t h e U S M X Directors unanimously approved a plan of restructuring to achieve the goal of m a k i n g U S M X t h e s i n g l e b a r g a i n i n g representative. On December 6, 2001, t h e C C C D i r e c t o r s u n a n i m o u s l y a p - p r o v e d a p l a n t o t r a n s f e r C C C ' s r e s p o n s i b i l i t i e s t o U S M X a n d c e a s e CCC's operations. Under the two plans, U S M X a n d C C C p l a n n e d t o t a k e t h e f o l l o w i n g a c t i o n s : ( I ) t r a n s f e r C C C ' s a s s e t s t o U S M X ; ( 2 ) t r a n s f e r C C C ' s t h r e e r e g i o n a l o f fi c e s t o U S M X ; (3) transfer CCC's bargaining authority to USMX; (4) replace CCC officials with USMX officials on the CFS, CRF and the South Atlantic Maintenance and Repair contract; (5) discontinue CCC's bargaining a u t h o r i t y a s o f J a n u a r y l , 2 0 0 2 ; a n d CURRENT STATUS WORK TO BE DONE (6) discontinue CCC's entire existence as of June 30, 2002. In addition to the corporate actions taken by USMX and CCC, Management agreed to the incor- poration of CCC Service Corporation to p e r f o r m t h e a d m i n i s t r a t i v e a n d a u d i t functions that CCC had performed over t h e y e a r s f o r t h e C F S , C R F, M I L A , NYSA, and Management. The plans adopted by USMX and CCC have been fully implemented. USMX is n o w t h e s i n g l e M a s t e r C o n t r a c t b a r g a i n i n g r e p r e s e n t a t i v e , C C C n o l o n g e r e x i s t s . C C C ' s a s s e t s w e r e t r a n s f e r r e d t o U S M X . C C C ' s t h r e e r e g i o n a l o f fi c e s w e r e t r a n s f e r r e d t o USMX. The Houston office will close on D e c e m b e r 3 1 , 2 0 0 2 , t h e S a v a n n a h o f fi c e w i l l b e r e l o c a t e d , a n d t h e B a l t i m o r e o f fi c e w i l l b e d o s e d a t t h e e n d o f t h e fi r s t q u a r t e r, 2 0 0 3 . CCC Service Corporation has been operaUnR since July I, 2002, and already has contracts with MILA, USMX, CFS, CRF, and NYSA. I n k e e p i n g w i t h t h e t o n g - r a n g e g o a l t h a t t h e c o s t s o f n e g o t i a t i n g a n d admin-istering the Master Contract are kept in line, the future goals of USMX are to (1) streamline USMX's operations t o e l i m i n a t e r e d u n d a n t e x p e n s e s ; ( 2 ) r e fi n e t h e m e t h o d s f o r t h e c o l t e c U o n a n d u t i l i z a t i o n o f d a t a r e g a r d i n g t h e M a s t e r C o n t r a c t ; a n d ( 3 ) c o n t i n u e t o p r o v i d e t h e m o s t e c o n o m i c a l m e t h o d o f c o l l e c t i n g a l l Master Contract and USMX assessments.
